Terms of Service

These Terms of Service ("Terms") govern your use of ProgressCove, a task and progress tracking application provided by Twenty Shores LLC ("we," "us," or "our"). By creating an account or using ProgressCove (the "Service"), you agree to these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old to use ProgressCove (or 16 where required by the laws of your country). By using the Service, you confirm that you meet this requirement. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or legal guardian.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating an account and to keep it up to date. Notify us promptly of any unauthorized use of your account.

3. Family and Offline Member Accounts

A paid subscription allows the primary account holder to create a limited number of additional family or household member accounts ("Member Accounts"). The primary account holder is responsible for all Member Accounts they create and for ensuring that anyone using a Member Account complies with these Terms. Member Accounts are intended for personal and household use, not for distributing access to unrelated parties or organizations. We may limit the number of Member Accounts per subscription.

4. Subscriptions, Trials, and Billing

ProgressCove offers a free trial period. At the end of the trial, your subscription will begin and the applicable fee will be charged unless you cancel before the trial ends.
Paid subscriptions ("Progresscove Sunrise") are billed on a recurring basis (for example, annually) at the price shown at the time of purchase.
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
You can manage or cancel your subscription at any time through your app store account (Google Play or the Apple App Store). Cancellation takes effect at the end of the current billing period.
Payments are processed by the relevant app store, and their terms and refund policies also apply to your purchase.
Prices may change. We will give reasonable notice of any price change, which will take effect on your next billing period after the notice.

5. Lifetime Purchases

From time to time we may offer a one-time lifetime purchase option (for example, "ProgressCove Founder Lifetime"). The following terms apply to lifetime purchases:

What "lifetime" means. A lifetime purchase grants you access to the paid features of the Service, without recurring fees, for as long as Twenty Shores LLC continues to operate the Service. "Lifetime" refers to the operating life of the Service, not the lifetime of the purchaser.
Scope. A lifetime purchase includes the paid features of the Service as they exist and evolve over time, including Member Accounts under Section 3, subject to the same limits that apply to subscriptions. It does not automatically include separately priced products, services, or add-ons that we may offer in the future under distinct branding or pricing.
One account, non-transferable. A lifetime purchase is tied to the purchasing account. It may not be sold, transferred, assigned, gifted, or inherited, and may not be shared outside the household use permitted by Section 3.
Limited availability. Lifetime purchases may be offered in limited quantities or for limited periods, and we may stop offering them at any time. Discontinuing the offer does not affect purchases already made.
Billing and refunds. Lifetime purchases are processed as one-time (non-consumable) purchases through the relevant app store, and that store's payment terms and refund policies apply.
If the Service is discontinued. If we permanently discontinue the hosted Service, we will make reasonable efforts to (a) provide lifetime purchasers with at least 90 days' advance notice, (b) keep the data export feature described in Section 8 available through the end of that notice period, and (c) make a self-hostable version of the server software available so that lifetime purchasers can continue to use their data independently. These steps are the sole remedy for discontinuation of the Service with respect to lifetime purchases, to the fullest extent permitted by law.
Fair use. Lifetime purchases are subject to the same Acceptable Use terms as all other accounts. We may suspend or terminate a lifetime purchase for violations of these Terms on the same basis as any other account under Section 13.

6. Self-Hosted and Open-Source Components

ProgressCove also offers a self-hosted option. Portions of the Service are made available under open-source licenses, and your use of those components is governed by their respective license terms. These Terms apply to your use of our hosted Service; they do not restrict rights granted to you under any applicable open-source license for separately distributed components.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of these Terms.
Attempt to gain unauthorized access to the Service, other accounts, or our systems.
Interfere with or disrupt the integrity or performance of the Service.
Resell, sublicense, or commercially exploit the Service except as expressly permitted.
Upload content that is illegal, infringing, or harmful.

8. Your Content

You retain ownership of the content you create in ProgressCove. You grant us a limited license to store, process, and transmit your content solely to provide the Service to you. We apply encryption to user content as described in our Privacy Policy. You are responsible for the content you create and for keeping your own backups where appropriate; the Service provides a data export feature for this purpose.

9. Data and Privacy

Our handling of your information is described in our Privacy Policy, which forms part of these Terms. You may export or delete your data through the Service at any time.

10. Service Availability and Changes

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features of the Service, and we will make reasonable efforts to notify you of material changes.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, Twenty Shores LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that may cause harm to us or others. Upon termination, your right to use the Service ends, though certain provisions of these Terms survive.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Nevada, except where applicable law grants you the right to bring proceedings elsewhere.
